1. ACCEPTANCE OF TERMS
This website, hereby referred to as greeninsure.com, provides
its service to you subject to the following Terms of Service
("TOS").
You understand and agree that greeninsure.com is provided "AS-IS" and
that greeninsure.com assumes no responsibility for the timeliness,
deletion, misdelivery or failure to store any user information.
2. YOUR OBLIGATIONS
Under no circumstances will greeninsure.com be liable in
any way for any user data information ("Content"),
including, but not limited to, errors or omissions in any
Content, or for any loss or damage of any kind incurred as
a result of Content made available via greeninsure.com. You
are responsible for maintaining the confidentiality of your
greeninsure.com account ID, and are fully responsible for
all activities that occur under your ID. You agree to (a)
immediately notify greeninsure.com of any unauthorized use
of your ID or account or any other breach of security, and
(b) close the browser window used to access your account
at the end of each session. greeninsure.com cannot and will
not be liable for any loss or damage arising from your failure
to comply with these policies.
3. INDEMNITY
You agree to indemnify and hold greeninsure.com, and its
subsidiaries, affiliates, officers, agents, web developers
or other partners, and employees, harmless from any claim
or demand, including reasonable attorneys' fees, made by
any third party due to or arising out of Content you submit,
or make available through greeninsure.com, your use of greeninsure.com,
or your connection to greeninsure.com.
4. GENERAL PRACTICES REGARDING USE
You agree that greeninsure.com has no responsibility or
liability for the deletion or failure to store any messages
and other communications or other Content maintained or transmitted
by greeninsure.com. You further acknowledge that greeninsure.com
reserves the right to change these general practices and
limits at any time, in its sole discretion, with or without
notice.
5. MODIFICATIONS TO SERVICE
greeninsure.com reserves the right at any time and from
time to time to modify or discontinue, temporarily or permanently,
greeninsure.com services (or any part thereof) with or without
notice. You agree that greeninsure.com shall not be liable
to you or to any third party for any modification, suspension
or discontinuance of the greeninsure.com service.
6. TERMINATION
You agree that greeninsure.com, in its sole discretion,
may terminate your account (or any part thereof) or use of
greeninsure.com, and remove and discard any Content within
greeninsure.com, for any reason. greeninsure.com may
also in its sole discretion and at any time discontinue providing
greeninsure.com, or any part thereof, with or without notice.
You agree that any termination of your access to greeninsure.com
under any provision of this TOS may be effected without prior
notice, and acknowledge and agree that greeninsure.com may
immediately deactivate or delete your account and all related
information and files in your account and/or bar any further
access to such files or greeninsure.com services. Further,
you agree that greeninsure.com shall not be liable to you
or any third-party for any termination of your access to
greeninsure.com.
7. greeninsure.com's PROPRIETARY RIGHTS
You acknowledge and agree that the greeninsure.com site
and service and any necessary software used in connection
with greeninsure.com ("Software") contain proprietary and
confidential information that is protected by applicable
intellectual property and other laws. Except as expressly
authorized by greeninsure.com, you agree not to modify, rent,
lease, loan, sell, distribute or create derivative works
based on greeninsure.com or the Software, in whole or in
part.
greeninsure.com grants you a personal,
non-transferable and non-exclusive right and license to
use the object code
of its Software on a single computer; provided that you
do not (and do not allow any third party to) copy, modify,
create
a derivative work of, reverse engineer, reverse assemble
or otherwise attempt to discover any source code, sell,
assign, sublicense, grant a security interest in or otherwise
transfer
any right in the Software. You agree not to modify the
Software in any manner or form, or to use modified versions
of the
Software, including (without limitation) for the purpose
of obtaining unauthorized access to greeninsure.com. You
agree not to access greeninsure.com by any means other
than through the interface that is provided by greeninsure.com
for use in accessing greeninsure.com.
8. DISCLAIMERS
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
YOUR USE OF greeninsure.com
IS AT YOUR SOLE RISK. greeninsure.com IS PROVIDED ON AN "AS
IS" AND "AS AVAILABLE" BASIS.
greeninsure.com is not responsible
for any incorrect or inaccurate Content posted on the Web
site or in connection
with greeninsure.com, whether caused
by users of the Web site, Members or by any of the equipment or programming
associated with or utilized in greeninsure.com. greeninsure.com assumes
no responsibility for any error, omission, interruption, deletion, defect or
delay in operation or transmission, communications line failure, theft or destruction
or unauthorized access to, or alteration of user accounts. greeninsure.com
is not responsible for any problems or technical malfunction of any telephone
network or lines, computer online systems, servers or providers, computer equipment,
software, failure of email or players on account of technical problems or traffic
congestion on the Internet or at any web site or combination thereof, including
injury or damage to users and/or Members or to any other person's computer
related to or resulting from participating or downloading materials in connection
with the Web and/or in connection with greeninsure.com. Under no circumstances
will greeninsure.com be responsible for any loss or damage, including personal
injury or death, resulting from anyone's use of the Web site or the greeninsure.com
service, any Content posted on the Web site or transmitted to Members.

MAKES NO WARRANTY THAT (i) greeninsure.com WILL MEET YOUR REQUIREMENTS, (ii)
greeninsure.com WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE,
(iii) AND (V) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
The section titles in the TOS are for convenience only and
have no legal or contractual effect.
9. UPDATES
The Terms of Service may be updated by greeninsure.com from
time to time, with or without prior notice. |
